Tax Planning-We provide sophisticated tax planning for corporations, limited liability companies, partnerships, and individuals, and we represent clients in disputes with the Internal Revenue Service and state revenue departments.

Litigation & Dispute Resolution- Miller, McGinn & Clark S.C. represents clients in federal and state courts at the trial and appellate levels, and before administrative agencies, in virtually all types of commercial litigation including contract disputes, employment and discrimination cases, construction disputes, professional liability defense, tax litigation and disputes governed by the uniform commercial code. Wherever appropriate, we encourage methods of alternative dispute resolution to accomplish a cost effective solution.

Municipal Bonds-Borrowing at tax exempt rates can be a significant benefit to a governmental body or a qualifying business. We provide services as bond counsel, disclosure counsel, and special tax counsel for governmental purpose municipal bonds, as well as small-issue industrial development revenue bonds and 501(c)(3) bonds for health care and housing purposes. We also represent issuers, underwriters, and purchasers of municipal bonds. We also provide arbitrage rebate calculations on larger borrowings.

Real Estate & Construction-We assist clients in purchasing, developing, leasing, and disposing of residential, industrial and commercial real estate, including environmental matters. We assist construction companies and builders in resolving disputes, and we advise clients in negotiating and drafting construction contracts and development agreements. Our firm helps clients obtain financing, including the raising of funds through limited partnerships, limited liability companies, and other financing alternatives.

Environmental Law-We assist clients in resolving practical issues arising out of the sale, purchase, or redevelopment of property, and we counsel clients in business and real estate transactions involving environmental risks and liability.
